PWNDU.AI – DRIVER PLATFORM AGREEMENT

This Driver Platform Agreement (“Agreement”) governs your access to and use of the PWNDU.AI technology platform (the “Platform”). By registering for, accessing, or using the Platform, you (“Driver”) acknowledge that you have read, understood, and agree to be bound by this Agreement.

1. Platform-Only Service / No Transportation Services
   PWNDU.AI is a technology platform only. PWNDU.AI does not provide transportation services, does not operate as a motor carrier, broker, or transportation provider, and does not employ drivers.
   
   PWNDU.AI’s sole function is to provide software that enables independent drivers and riders to connect directly with one another. Any transportation services are provided solely by you, the Driver, operating independently.
2. Independent Contractor Status
   You acknowledge and agree that:
   • You are an independent contractor, not an employee, agent, partner, joint venturer, or representative of PWNDU.AI.
   • You operate your own independent driving business, under your own name or business entity.
   • You have no authority to bind PWNDU.AI in any manner.
   • Nothing in this Agreement creates an employment, franchise, agency, or fiduciary relationship.
   • You are solely responsible for determining how, when, and whether you provide transportation services.
3. Driver as Separate Business Entity
   Each Driver is deemed a separate and independent business. All rides are conducted between the Driver and the Rider directly.
   
   PWNDU.AI is not a party to any transportation agreement, oral or written, between Driver and Rider.
4. Commercial Auto Insurance Requirement
   You are solely responsible for maintaining active commercial automobile insurance in full compliance with all applicable federal, state, and local laws. Your insurance must cover, at a minimum:
   • Bodily injury
   • Property damage
   • Passenger liability
   • Any other coverage required by law
5. Proof of Insurance
   You agree to provide accurate and current proof of insurance upon request. Failure to maintain or provide proof of valid commercial insurance may result in immediate suspension or permanent removal from the Platform.
   
   PWNDU.AI has no obligation to verify coverage adequacy and does not guarantee that any policy meets legal requirements.
6. No Insurance Coverage Provided by PWNDU.AI
   PWNDU.AI does not provide auto insurance, liability insurance, medical coverage, workers’ compensation, or uninsured/underinsured motorist coverage. All insurance claims, disputes, or losses are the sole responsibility of the Driver and their insurer.
7. Assumption of Risk
   You expressly acknowledge and agree that you assume all risks associated with operating a vehicle and transporting passengers. You are solely responsible for your vehicle, passengers, conduct, and compliance with laws. Transportation inherently involves risks including accidents, injuries, property damage, theft, assault, or death. PWNDU.AI bears no responsibility for such risks.
8. Limitation of Liability
   To the maximum extent permitted by law, PWNDU.AI shall not be liable for accidents, collisions, or incidents; bodily injury or death; property damage; emotional distress; lost income or profits; or legal claims between Drivers and Riders. This applies whether claims arise from negligence, alleged platform failure, technology issues, or third-party actions.
9. Indemnification
   You agree to defend, indemnify, and hold harmless PWNDU.AI, its owners, officers, directors, employees, contractors, and affiliates from any and all claims, damages, losses, liabilities, costs, and legal fees arising from or related to your transportation services, any accident or incident, claims by passengers/third parties/government agencies, your failure to maintain insurance, or your violation of any law.
10. Taxes and Regulatory Compliance
    You are solely responsible for reporting and paying all applicable taxes, including sales, excise, ride, or transportation taxes, and for obtaining any required licensing, permits, and registrations. PWNDU.AI does not withhold taxes and provides no tax advice.
11. Location Data & Privacy
    The Platform may collect location data for routing, pick-up and drop-off coordination, estimated arrival times, and safety features. You consent to such collection and processing. Location data may be deleted upon request, subject to legal and operational requirements.
12. No Guarantees
    PWNDU.AI makes no guarantees regarding ride volume, earnings, rider availability, platform uptime, or geographic coverage. The Platform is provided “as is” and “as available.”
13. Dispute Resolution Between Driver and Rider
    Any dispute, claim, or legal action arising between a Driver and a Rider is strictly between those parties. PWNDU.AI has no obligation to intervene, arbitrate, or resolve such disputes.
14. Acknowledgment
    By registering for or using the PWNDU.AI Platform, you acknowledge that you understand this Agreement, you assume all risks associated with your activities, and PWNDU.AI is not responsible for transportation services, accidents, or liabilities.
